End-User License Agreement

This agreement is between you and Mind Kinetic ("we", "us"). It covers the MK Trading Desk desktop app and the two MetaTrader 5 programs that come with it, MK Prices and MK Assistant (together, "the Software"). By installing or using the Software you accept this agreement and our Terms of Service.

In short

You get a personal license to use the Software within your plan's limits. You don't buy the Software itself.
Don't share your account or plan, copy the Software, or try to get around its plan checks.
MK Prices only reads data. MK Assistant only sends orders you confirm, only on accounts where you turn order sending on.

1. License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on computers you own or control, for your own trading, for as long as you use it under the free plan or a valid paid plan, and within its limits on computers. Where you use it for a company, the license covers you as that company's user.

The Software is licensed, not sold. We and our licensors keep all rights, title and ownership in it, including its code, design, trading models, Elliott wave engine, coaching content, names and logos. Anything not expressly granted here is reserved.

2. What you may not do

Except where the law gives you a right that cannot be removed by contract, you may not:

copy, distribute, sell, rent, lend, sublicense or share the Software, your account or your plan;
reverse engineer, decompile, disassemble, or try to extract the source code, models or content of the Software, including MK Prices and MK Assistant;
remove, disable or get around license checks, plan limits, usage allowances or other protections;
modify the Software or build products derived from it, or use it to build a competing product;
redistribute MK Prices or MK Assistant on their own, or use them with software other than MK Trading Desk;
remove copyright, trademark or license notices.

3. MK Prices (MT5 indicator)

MK Prices is a custom MT5 indicator. It reads prices, candles, symbol specifications, account figures and trade history from your MT5 terminal and writes them to files on your PC for MK Trading Desk to read. It cannot place, change or close trades: MT5 does not allow indicators to trade. It is installed only when you choose to install it from MK Trading Desk.

4. MK Assistant (MT5 Expert Advisor)

MK Assistant is an MT5 Expert Advisor that sends orders to MT5 for Live and prop firm accounts on which you have turned order sending on in MK Trading Desk. It:

acts only on logins MK Trading Desk allows, and only after you turn on order sending and confirm each order;
never opens trades on its own, and carries no trading strategy or signals;
is installed only when you choose to install it, and runs only while you keep it attached to a chart with Algo Trading on.

Important. Many prop firms and some brokers restrict Expert Advisors, and some may flag one simply for being attached. Check that your prop firm or broker allows Expert Advisors before you install or attach MK Assistant. You are responsible for every order sent from your MT5. See section 7 of the Terms of Service.

5. Licensing checks and updates

The Software asks you to sign in to your account, and checks your plan from time to time over the internet; a paid plan keeps working offline for a period between checks. It may download and install updates, which fix problems, add features, or keep the license check working. If a paid plan ends, its paid features stop, but the app keeps working with all your data.

6. Open-source and third-party components

The Software includes open-source components, such as TradingView's Lightweight Charts (Apache 2.0), fonts under the SIL Open Font License, and an on-device voice model and runtime under their own licenses. Each is licensed to you under its own terms, which are included with the Software. Nothing in this agreement limits your rights under those licenses. MetaTrader 5 is a product of MetaQuotes and is not part of the Software.

7. Ending this agreement

This agreement lasts while you use the Software. It ends automatically if you break it. When it ends, you must stop using the Software's paid features. Sections 1 (ownership), 2, 8 and 9 survive.

8. No warranty and limit of liability

The Software is provided "as is". The warranty disclaimer and limit of liability in sections 15 and 16 of the Terms of Service apply to this agreement.

9. General

This agreement is governed by the laws of the Republic of the Philippines, as set out in the Terms of Service. If any part of it cannot be enforced, the rest still applies. You may not transfer this agreement without our written consent; we may transfer it as part of a sale or reorganisation of our business.
